Aesthetica Creative Studio ("we," "us") offers branding, web design, and development services ("Services") as outlined in project proposals or contracts. Deliverables, timelines, and costs are subject to client-provided materials and mutual agreement. We reserve the right to modify or discontinue Services with notice.

3. User Obligations

You agree to:

• Provide accurate information for project execution.
• Secure all necessary rights/licenses for materials submitted to us (e.g., logos, text).
• Not misuse our Services for unlawful purposes or infringe third-party rights.
• Comply with all applicable laws, including Japan’s Act on the Protection of Personal Information (APPI).

4. Payments & Billing

• Fees: Costs are specified in proposals. A 30–50% deposit may be required to commence work.
• Invoicing: Payments are due within 14 days of invoice receipt. Late payments incur 1.5% monthly interest.
• Refunds: Deposits are non-refundable. Partial refunds for cancellations are at our discretion.
• Currency: All fees are in JPY unless stated otherwise.

5. Intellectual Property (IP)

• Client Materials: You retain ownership of materials provided to us. By submitting them, you grant us a license to use them for project execution.
• Deliverables: IP rights to final deliverables (e.g., logos, websites) transfer to you upon full payment.
• Studio Rights: We retain the right to showcase deliverables in our portfolio unless confidentiality is agreed in writing.
• Third-Party Tools: Licenses for stock assets (e.g., fonts, images) remain subject to their respective terms.

6. Disclaimers

• "As Is" Basis: Services are provided without warranties, express or implied. We do not guarantee specific outcomes or uninterrupted website functionality.
• Third-Party Links: We are not responsible for content on external sites linked through our Services.

7. Limitation of Liability

We are not liable for:

• Indirect, incidental, or consequential damages (e.g., lost profits).
• Issues arising from delayed/missing client materials or third-party actions (e.g., hosting providers).
• Total liability capped at fees paid for the relevant project.

8. Termination

Either party may terminate a project with 30 days’ written notice. Upon termination:

• Clients pay for work completed up to the termination date.
• We retain deliverables until outstanding fees are settled.

9. Governing Law & Disputes

• Jurisdiction: These Terms are governed by Japanese law. Disputes will be resolved in Tokyo District Court.
• Mediation: Parties agree to attempt mediation before litigation.

10. Amendments

We may update these Terms periodically. Material changes take effect 30 days after posting on our website. Continued use constitutes acceptance.

11. Force Majeure

We are not liable for delays/cancellations due to unforeseen events (e.g., natural disasters, pandemics).
